Preamble

This Fees and Payment Policy (the “Policy”) governs the financial obligations, fee structures, commission arrangements, and taxation implications associated with the utilization of the Work Jiffy platform (the “Platform”). By accessing, registering on, or engaging in any transactions via the Platform, all users, including but not limited to Clients and Jiffers (as defined herein), expressly acknowledge, consent to, and agree to be bound by the terms of this Policy, in conjunction with the Platform’s general Terms of Service, Privacy Policy, and any ancillary agreements or addenda thereto.

Work Jiffy reserves the unequivocal right to amend, modify, supplement, or otherwise revise this Policy at its sole discretion, with or without prior notice, provided that any material changes shall be communicated to affected users via electronic means, including but not limited to email notifications or in-app alerts. Continued use of the Platform following such amendments shall constitute irrevocable acceptance thereof. This Policy is intended to ensure transparency, fairness, and compliance with applicable fiscal and regulatory frameworks, including those pertaining to taxation in the all Provinces in Canada.

Section 1: Definitions

For the purposes of this Policy, the following terms shall have the meanings ascribed to them below, unless the context clearly indicates otherwise:

1.1 Client: Any individual, entity, or organization that engages the services of a Jiffer through the Platform for the provision of professional, technical, or other services, previously referred to as “hirers” in antecedent documentation.

1.2 Jiffer: Any individual, entity, or organization registered on the Platform to offer and provide services to Clients, previously denoted as “freelancers.”

1.3 Order: A contractual arrangement facilitated via the Platform wherein a Client commissions services from a Jiffer, encompassing the total monetary value of the services rendered, exclusive of applicable fees, commissions, and taxes unless otherwise specified.

1.4 Platform Fee: The surcharge imposed on Clients for the utilization of the Platform’s intermediary services, matchmaking algorithms, dispute resolution mechanisms, and ancillary features.

1.5 Commission: The percentage-based deduction applied to the gross proceeds received by Jiffers from Orders, as remuneration for the Platform’s facilitation, administrative support, and technological infrastructure.

1.6 HST/PST/GST: Value-Added Tax or Goods and Services Tax, as applicable under the fiscal regime of all Province of Canada on qualifying transactions.

1.7 Gross Proceeds: The total amount payable by a Client for an Order prior to the deduction of any Commissions, Platform Fees, or taxes.

1.8 Net Proceeds: The amount disbursed to a Jiffer after the application of Commissions, Platform Fees (if applicable), and taxes.

All other terms not explicitly defined herein shall retain the meanings assigned to them in the Platform’s Terms of Service.

Section 2: Platform Fees for Clients

2.1 Imposition of Platform Fee: In consideration for the Platform’s role in connecting Clients with qualified Jiffers, providing secure transaction processing, escrow services, and ongoing support, Clients shall be obligated to remit an additional Platform Fee equivalent to five percent (5%) of the Gross Proceeds of each Order.

2.2 Calculation and Application: The Platform Fee shall be calculated as 5% of the total Order value, inclusive of any ancillary charges such as rush fees or revisions, but exclusive of taxes. This fee shall be automatically appended to the invoice presented to the Client at the time of Order confirmation and shall be non-refundable except in instances of Platform-attributable errors, as determined in Work Jiffy’s sole discretion.

2.3 Payment Obligation: Clients covenant to pay the Platform Fee in full, without set-off, deduction, or counterclaim, contemporaneous with the settlement of the underlying Order. Failure to remit the Platform Fee may result in suspension of access to the Platform, withholding of services, or other remedial actions as outlined in Section 6 herein.

Section 3: Commission Structure for Jiffers

3.1 Tiered Commission Framework: To incentivize high-value engagements and foster scalability, Work Jiffy implements a graduated Commission schedule based on the Gross Proceeds of each Order. Jiffers hereby authorize the deduction of the applicable Commission from their Gross Proceeds prior to disbursement.

3.2 Commission Tiers:

For Orders with Gross Proceeds ranging from ten Canadian Dollars (CAD $10.00) to ninety-nine Canadian Dollars and ninety-nine cents (CAD $99.99), the Commission shall be twenty percent (20%).

For Orders with Gross Proceeds ranging from one hundred Canadian Dollars (CAD $100.00) to one thousand nine hundred ninety-nine United States Dollars and ninety-nine cents (CAD $1,999.99), the Commission shall be fifteen percent (15%).

For Orders with Gross Proceeds ranging from two thousand Canadian Dollars (CAD $2,000.00) to nine thousand nine hundred ninety-nine United States Dollars and ninety-nine cents (CAD $9,999.99), the Commission shall be ten percent (10%).

For Orders with Gross Proceeds exceeding nine thousand nine hundred ninety-nine Canadian Dollars and ninety-nine cents (CAD $9,999.99), the Commission shall be five percent (5%).

3.3 Aggregation and Rounding: Commissions shall be computed on a per-Order basis, without aggregation across multiple Orders unless expressly approved by Work Jiffy in writing. All calculations shall be rounded to the nearest cent, employing standard arithmetic rounding principles (i.e., 0.5 or above rounded up).

3.4 Deduction and Disbursement: Commissions shall be automatically withheld from the Gross Proceeds upon Order completion and Client approval. Net Proceeds shall be disbursed to Jiffers via the designated payment method within a reasonable timeframe, not exceeding fourteen (14) business days, subject to verification processes and any holds for disputes.

Section 4: Taxation Obligations

4.1 Applicable Taxes: All transactions conducted via the Platform are subject to the prevailing taxation laws of each Province in Canada, including but not limited to all Federal and the Goods and Services Tax (GST & HST,PST) which may be referred to interchangeably as Value-Added Tax (VAT) in certain contexts.

4.2 Imposition and Collection: All provincial and federal taxes shall be applied to the aggregate amount of the Order, inclusive of Platform Fees and Commissions, where applicable under Canadian tax regulations. Work Jiffy shall collect and remit such taxes on behalf of users, acting as a withholding agent where required.

4.3 User Responsibilities: Clients and Jiffers bear sole responsibility for any additional taxes, duties, or levies imposed by jurisdictions outside Alberta, Canada, including income taxes on Net Proceeds. Users indemnify Work Jiffy against any claims arising from non-compliance with their individual tax obligations.

4.4 Tax Invoicing: Upon request, Work Jiffy shall furnish tax-compliant invoices detailing the breakdown of fees, commissions, and taxes. Users must provide accurate billing information to facilitate compliance.

Section 5: Payment Terms and Methods

5.1 Accepted Payment Methods: Payments shall be processed through secure third-party gateways integrated with the Platform, including credit cards, electronic transfers, and other methods as may be updated from time to time.

5.2 Currency and Conversion: All transactions shall be denominated in Canadian Dollars, with any associated fees borne by the paying party.

5.3 Refunds and Chargebacks: Refunds shall be issued solely at Work Jiffy’s discretion, in accordance with the dispute resolution process. Chargebacks initiated without prior notification may incur administrative fees.

5.4 Late Payments: Any overdue amounts shall accrue interest at a rate of one and one-half percent (1.5%) per month, or the maximum rate permitted by law, whichever is lesser.

Section 6: Dispute Resolution and Remedies

6.1 Dispute Mechanism: Any controversies arising from or relating to this Policy shall first be addressed through the Platform’s internal mediation process.

6.2 Binding Arbitration: Failing resolution, disputes shall be submitted to binding arbitration under the rules of the respectable Arbitration and Mediation Society of that Province.

6.3 Remedies: Work Jiffy reserves the right to suspend accounts, withhold funds, or terminate access for violations of this Policy.

Section 7: Governing Law and Jurisdiction

This Policy shall be governed by and construed in accordance with the laws of the Province of Canada, without regard to conflict of laws principles. Exclusive jurisdiction for any legal proceedings shall vest in the courts of that Province.

Section 8: Miscellaneous Provisions

8.1 Severability: If any provision herein is deemed invalid, the remainder shall continue in full force.

8.2 Waiver: No waiver of any term shall be effective unless in writing.

8.3 Entire Agreement: This Policy constitutes the entire understanding regarding fees and payments, superseding prior agreements.
